Welcome to ParishMart, a platform powered by Gurupia. These Terms of Service (“Terms”) govern your use of the ParishMart platform, including all related websites, services, and tools provided by Gurupia. By accessing or using the platform, you agree to be bound by these Terms.

2. Definitions

• “Platform” refers to the ParishMart online marketplace.
• “User” refers to any individual or entity using the platform, including vendors, parishioners, parishes, and buyers.
• “Vendor” refers to users who offer products or services on the platform.
• “Parish” refers to any registered Catholic parish participating in the platform.
• “Buyer” refers to users purchasing products or services from vendors on the platform.

3. Account Registration and Responsibilities

• Users must register an account to access platform services.
• Users agree to provide accurate, current, and complete information.
• Users are responsible for maintaining the confidentiality of their account credentials.
• Users agree to notify ParishMart immediately of any unauthorized account use.

4. Platform Services and Fees

• Vendors may list products and services on the platform.
• Parishes can earn referral fees from sales generated through their unique parish links.
• ParishMart charges a transaction fee for each sale, which varies by category.
• Setup fees, membership fees, and other charges are detailed on the platform.

5. Payment Terms

• Payments for sales are processed through the platform’s secure payment gateway.
• Vendors will receive payments in the first 7 days of the following month for sales completed by the 15th of the previous month, subject to successful order fulfillment and acceptance.
• Parishes will receive referral fees on the same payment schedule.
• All payments are processed in USD.

6. User Conduct and Prohibited Activities

Users agree to use the platform lawfully and ethically. Prohibited activities include, but are not limited to:

• Posting false, misleading, or offensive content.
• Violating intellectual property rights.
• Engaging in fraudulent activities.
• Attempting to disrupt the platform’s operations.

7. Returns, Refunds, and Disputes

• Vendors are responsible for setting their return and refund policies.
• Buyers should resolve disputes directly with vendors.
• ParishMart may mediate disputes at its discretion but is not obligated to resolve them.

8. Intellectual Property

• All content on the platform, including trademarks, logos, and software, is the property of Gurupia or its licensors.
• Users may not reproduce, distribute, or create derivative works without permission.

9. Limitation of Liability

ParishMart and Gurupia are not liable for:

• Losses due to user errors or unauthorized account use.
• Vendor products or services, including quality, safety, or legality.
• Indirect, incidental, or consequential damages arising from platform use.

10. Termination of Services

• ParishMart may suspend or terminate user accounts for violations of these Terms.
• Users may terminate their accounts at any time by notifying customer support.

11. Modifications to Terms

ParishMart reserves the right to modify these Terms at any time. Users will be notified of changes via email or platform notifications. Continued use of the platform constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the State of Florida, USA.
• Any disputes shall be resolved through binding arbitration in Florida, in accordance with the rules of the American Arbitration Association.
