Part I — General Terms of Service

1. Introduction

Welcome to ParishMart Inc. These Terms of Service (“Terms”) govern your use of the ParishMart platform, including all related websites, services, and tools. By accessing or using the platform, you agree to be bound by these Terms in their entirety.

2. Definitions

As used in these Terms, the following definitions apply:

  • “Platform” refers to the ParishMart online marketplace and all associated digital tools and services.
  • “User” refers to any individual or entity using the platform, including vendors, organizations, buyers, and administrators.
  • “Vendor” refers to users who offer products or services on the platform.
  • “Organization” refers to any church, parish, diocese, mission, cause, or ministry registered and participating on the platform.
  • “Buyer” or “Supporter” refers to users purchasing products, services, or making contributions through the platform.
  • “ParishMart” refers to the operator of the platform.

3. Account Registration and Responsibilities

  • Users must register an account to access platform services.
  • Users agree to provide accurate, current, and complete information during registration and to keep such information updated.
  • Users are responsible for maintaining the confidentiality of their account credentials.
  • Users agree to notify ParishMart immediately of any unauthorized account use or suspected breach of security.
  • ParishMart reserves the right to suspend or terminate accounts found to contain inaccurate, fraudulent, or misleading information.

4. Platform Services and Fees

  • Vendors may list products and services on the platform subject to applicable category guidelines.
  • Organizations can earn referral fees from sales generated through their stores.
  • ParishMart may charge a transaction fee for each sale, as specified at checkout and in applicable agreements. All fees are disclosed to users prior to the completion of any transaction.
  • Setup fees, membership fees, and other charges, if applicable, are detailed on the platform at the time of enrollment.

5. Payment Terms

  • Payments for sales are processed through the platform’s secure payment gateway powered by Shopify.
  • Vendors will receive payments on the first seven (7) days of the following month for sales completed by the 15th of the previous month, subject to successful order fulfillment and acceptance.
  • Organizations will receive referral fees on the same payment schedule.
  • Where the Platform displays give opportunities for parishes, ministries, or causes, clicking the giving link will redirect you to that organization’s own external give platform. ParishMart does not hold or accumulate giving funds.
  • All payments are processed in USD.

6. User Conduct and Prohibited Activities

Users agree to use the platform lawfully and ethically. Prohibited activities include, but are not limited to:

  • Posting false, misleading, or offensive content.
  • Violating intellectual property rights of any party.
  • Engaging in fraudulent activities, including misrepresentation of identity or organizational affiliation.
  • Attempting to disrupt, hack, or manipulate the platform’s operations or payment systems.
  • Using the platform to solicit contributions on behalf of an Organization that has not completed the onboarding process described in Part II of this Agreement.
  • Impersonating any individual, organization, or entity in a manner that is false or misleading.

7. Returns, Refunds, and Disputes

  • Customers may request a return within thirty (30) days of receiving the product, provided the item is unused, unworn, in its original condition and packaging, with all tags attached, and accompanied by proof of purchase.
  • All return requests must be submitted and approved prior to shipping the item back; unauthorized returns will not be accepted.
  • Approved returns may be subject to a restocking fee of twenty percent (20%) or more, depending on the condition of the returned item, in addition to applicable return shipping costs.
  • Certain items are non-returnable, including perishable goods, personalized or custom-made products, personal care items, hazardous materials, sale items, and gift cards.
  • Customers must inspect orders upon delivery and report any defective, damaged, or incorrect items promptly for review and resolution.
  • Once a returned item is received and inspected, the Company will determine eligibility for a refund and notify the customer accordingly.
  • Approved refunds will be processed to the original payment method, subject to the processing times of the customer’s financial institution.
  • Any disputes related to returns, refunds, or product conditions shall first be addressed through good-faith communication with the Company, whose determination, based on the evidence provided, shall govern resolution to the extent permitted by applicable law.
  • Givings are generally non-refundable once transmitted to an Organization. In the event of a technical error or disputed transaction, supporters should contact support@parishmart.com within fourteen (14) days of the transaction.

8. Intellectual Property

  • All content on the platform, including trademarks, logos, software, and platform design, is the property of ParishMart Inc. or its licensors.
  • Users may not reproduce, distribute, or create derivative works from platform content without express written permission.
  • Organizations and Vendors retain ownership of their own content (images, descriptions, materials) uploaded to the platform and grant ParishMart a limited, non-exclusive license to display such content for the purposes of operating the platform.

9. Limitation of Liability

ParishMart Inc. is not liable for:

  • Losses due to user errors or unauthorized account use.
  • Vendor products or services, including their quality, safety, or legality.
  • The accuracy or completeness of content provided by Organizations or Vendors.
  • Indirect, incidental, or consequential damages arising from platform use.
  • The failure of any Organization to fulfill its obligations to supporters or customers.

10. Termination of Services

  • ParishMart may suspend or terminate user accounts for violations of these Terms, with or without prior notice, depending on the severity of the violation.
  • Users may terminate their accounts at any time by notifying customer support at support@parishmart.com.
  • Upon termination, any pending payments due to Vendors or Organizations will be processed in accordance with the regular payment schedule, except where termination is due to fraud or material breach.

11. Modifications to Terms

ParishMart reserves the right to modify these Terms at any time. Users will be notified of material changes via email or platform notifications at least fourteen (14) days before changes take effect. Continued use of the platform after that period constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of Florida, USA.
  • Any disputes shall be resolved through binding arbitration in Florida, in accordance with the rules of the American Arbitration Association.
  • Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.
